OWNERSHIP AND SHAREHOLDER DISTRIBUTIONS
When you purchase shares of Profit Prophet Capital, you acquire an ownership interest in the company. Your capital becomes part of PPC’s corporate capital and is deployed across the company’s investment activities. PPC does not charge shareholders an asset-based management fee.
Shareholder distributions are based on company performance—not a fixed interest rate. The amount and timing depend on profits, available cash, operating obligations, reserves and corporate approval. Distributions may increase, decrease or be suspended, and investors could lose some or all of their principal.
HOW PPC PUTS CAPITAL TO WORK
Profit Prophet Capital evaluates opportunities across public equities, real estate, private businesses and lending. Each opportunity is reviewed for potential return, cash flow, liquidity, downside exposure and its role within the company’s overall portfolio.
Capital allocation changes as market conditions and opportunities change. PPC may maintain substantial cash reserves instead of investing all available capital. Diversification and active risk management are intended to reduce risk, but they cannot eliminate losses.
TRANSPARENCY AND ACCOUNT VISIBILITY
Shareholders receive view-only access to designated Fidelity account information, allowing them to review holdings, cash reserves, investment activity, income and distributions. This access does not permit trading, transfers or withdrawals.
Profit Prophet Capital may organize company capital across multiple accounts for operational and risk-management purposes. Shareholders receive information needed to understand the company’s overall financial position—not merely the activity of one account.
RISKS, LIQUIDITY AND ELIGIBILITY
Profit Prophet Capital shares are private-company securities and may not be readily resold. There is no public market for the shares. Transfers or redemptions may be restricted by company documents, securities laws and available company liquidity.
